This User Agreement (“Agreement”) is a legal contract between you, either an individual or a single entity (“User”), and EEtility.com (“Company”). By installing, accessing, or using the Smart Energy - Nexus web application (“Application”), you agree to comply with the terms outlined in this Agreement. If you do not agree to these terms, you are not permitted to use the Application.
License Grant & Restrictions
License: The Company grants you a non-exclusive, non-transferable license to use the Application on your devices in accordance with the terms of this Agreement.
Usage: This Application is intended for professional use by agents, partners, or designees of EEtility, Inc.
Installation and Access: The Application is a Progressive Web Application (PWA) accessible on a web server. Components of the Application may be saved to, cached, or stored on your mobile device. You may install and use the Application on an unlimited number of your own devices.
Account Access: You will be provided with a unique login account for access and use of the Application. You are prohibited from sharing your login information with any third parties.
Restrictions: You may not reverse engineer, decompile, or disassemble the Application, except to the extent that such activity is expressly permitted by applicable law. You may not modify or create derivative works based upon the Application.
Maintenance and Support
Updates: The Company will provide automatic updates to the Application as necessary. All updates are provided free of charge.
Support: The Company will provide customer support for the Application as outlined in our Support Policy, available on our website.
Intellectual Property
Ownership: All rights, title, and interest in and to the Application (including any associated intellectual property rights) are and will remain the exclusive property of the Company and its licensors.
Copyright: The Application is protected by copyright laws and international treaties. You must not remove any copyright, trademark, or other proprietary notices from any part of the Application.
Warranties and Disclaimers
No Warranty: The Application is provided "as is" and "as available" without any warranties of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
No Liability: In no event will the Company be liable for any indirect, incidental, special, consequential, or punitive damages (including, without limitation, loss of profits, data, use, or goodwill) arising out of or in connection with this Agreement, whether or not the Company has been informed of the possibility of such damage.
Termination
The Company may terminate this Agreement at any time if you violate any provision of this Agreement. Upon termination, you must cease all use of the Application and delete all copies from your devices.
Miscellaneous
Governing Law: This Agreement is governed by the laws of the jurisdiction in which the Company is located, without regard to its conflict of law principles.
Amendments: The Company reserves the right to amend this Agreement at any time by providing notice to the User.
Entire Agreement: This Agreement constitutes the entire agreement between the User and the Company regarding the use of the Application, superseding any prior agreements between the User and the Company regarding the Application.
By using the Smart Energy - Nexus Application, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
